Final Dividend of 100% (i.e. Re. 1/- per share) on Equity Shares of the Face Value of Rs. 1/- (Rupee One each) for the Financial Year ended 31st March, 2026, subject to approval of the Members of the Company at the ensuing Annual General Meeting (?AGM?) of the Company. 2. Approval for issuance of Non-Convertible Debentures for an amount not exceeding Rs. 700 Crore (Rupees Seven Hundred Crore Only) on private placement basis. In continuation of the Outcome of the Board Meeting held on 12th August, 2025 and the clarification dated 21st August, 2025, we wish to inform you that the Board at its meeting held today, i.e., Tuesday, 05th May, 2026, has approved the issuance of Non-Convertible Debentures (NCDs) aggregating up to Rs. 700 Crore (Rupees Seven Hundred Crore Only) on a private placement basis, subject to all applicable regulatory/statutory approvals. The said issuance is within the overall limits previously approved by the Board of Directors at its meeting held on 12th August, 2025. The aforesaid approval is for the issuance of debentures under previously approved limits on 12th August, 2025 and the existing In principle approval dated 13th October, 2025 3. Approval to acquire equity stake in an entity in Papua New Guinea by Lloyds Global Resources FZCO, wholly owned subsidiary of the Company. The Board of Directors of the Company approved the proposal for Lloyds Global Resources FZCO (?LGRF?), a wholly owned subsidiary of the Company, to acquire equity stake in an entity in Lloyds Panguna Metals and Energy Limited (?LPMEL?) in Papua New Guinea. Pursuant to this Incorporation, LPMEL will be considered as a step-down Subsidiary of the Company. LPMEL will engage with Bougainville Copper Limited (?BCL?) to pursue a long-term cooperation and mining agreement in respect of the Panguna Mine, located in the Autonomous Region of Bougainville (?AROB?), Papua New Guinea. LPMEL will serve as the dedicated project and engagement vehicle for executing cooperation, MOU, and joint venture agreements with BCL and holding any rights, licenses, or equity interests arising from the Panguna engagement. 4. Re-appointment of Mr. Ramesh Luharuka (DIN: 00001380) and Ms. Seema Saini (DIN: 09539941) as Non-Executive, Independent Directors of the Company for a second term. Based on the recommendation of the Nomination and Remuneration Committee and subject to the approval of the Members at the ensuing Annual General Meeting of the Company, the Board approved the re-appointment of Mr. Ramesh Luharuka (DIN: 00001380) as a Non-Executive, Independent Director of the Company for a second term of 5 (Five) consecutive years commencing from 07th October, 2026 to 06th October, 2032 (both days inclusive), and Ms. Seema Saini (DIN: 09539941) as a Non-Executive, Independent Director of the Company for a second term of 5 (Five) consecutive years commencing from 30th March, 2027 to 29th March, 2032 (both days inclusive). 5. Alteration of Articles of Association of the Company. The Board approved the alteration of Articles of Association (?AOA?) of the Company by way of deletion of the clause pertaining to the Common Seal, Subject to approval of the Members of the Company at the ensuing Annual General Meeting of the Company. 6. Approval for issuance of Non-Convertible Debentures for an amount not exceeding Rs. 2,500 Crore (Rupees Two Thousand Five Hundred Crore Only) in one or more tranches on private placement basis The Board has granted an enabling approval for issuance of Non-Convertible Debentures for an amount not exceeding Rs. 2,500 Crore (Rupees Two Thousand Five Hundred Crore Only) in one or more tranches, on private placement basis subject to all applicable regulatory / statutory approval(s).
