Substantial Acquisition of Shares2026-04-08 Inter alia, has considered and approved the following: 1. Acquisition of Bosch Chassis Systems India Private Limited (RBIC) from its existing shareholders Robert Bosch Investment Nederland B.V(RBNI), Netherlands and Robert Bosch LLC, USA for a cash and non-cash consideration not exceeding Rs. 9,068.68 crores for a 100 % stake as per Share Purchase Agreement to be executed amongst the Company, RBNI, Robert Bosch LLC, USA and RBIC. Upon acquisition, the Target Company (RBIC) will become a Wholly owned subsidiary and also material subsidiary of the Company according to Regulation 16 (c) of SEBI (Listing Obligations and Disclosure Requirements). 2. Issue of 1,230 Equity Shares each having face value of Rs.10/- at a price of Rs. 35,200 (including premium of Rs. 35,190) on Preferential basis for consideration other than cash, to Robert Bosch Investment Nederland B.V (RBNI), and Robert Bosch LLC (both categorized as Promoter Group) in accordance the Securities and Exchange Board of India (Issue of Capital and Disclosure Requirements) Regulations, 2018, as amended and other applicable laws if any, and subject to the approval of regulatory / statutory authorities, as applicable, and the approval of shareholders of the Company. 3. Postal Ballot process for seeking approval from the members of the Company in connection with the above transactions
