Our Company is registered as a merchant banker with the Securities and Exchange Board of India (“SEBI”), and alsoacts as an investment manager to a SEBI-registered alternative investment fund. Our Company is engaged in fee-basedbusinesses, including syndication for third parties, debt arrangement, debt advisory, corporate consultancy, fund raisingthrough debt, and referral services. Our Company’s primary focus is on the syndication of rated, unrated, listed and/orunlisted bond issuances in the wholesale debt market, offered to participants and investors on a private placement basis.

Use of Proceeds

1. Investment in our wholly owned subsidiary InCred Financial Services Limited foraugmenting its capital base. The Net Proceeds will be utilised to increase InCred FinancialServices Limited’s Tier – I capital base, towards onward lending and improving InCredFinancial Services Limited’s CRAR
