Ex Bonus2026-05-06Bonus issue Inter alia, approved:- 1. Recommended a final dividend of Rs.2/- per equity share (20%) of Rs. 10/- each which is subject to approval of the shareholders in the ensuing Thirty First Annual General Meeting of the Company. The dividend will be paid within 30 days from the date of shareholders approval in the ensuing Annual General Meeting of the Company 2. Issue of bonus equity shares in the proportion of 1:3. i.e. 1 (one) bonus equity share of Rs. 10/- each fully paid up for every 3 (three) equity shares of Rs. 10/- each fully paid up held by the shareholders as on record date subject to the approval of the members of the Company through Postal Ballot to be conducted in accordance with the provisions of Section 110 of the Companies Act, 2013. The record date for reckoning the eligible shareholders for bonus equity shares will be communicated separately. 3. Increase in the authorised share capital of the Company from Rs. 250,00,00,000/- (Rupees Two Hundred and Fifty Crores only) divided into 25,00,00,000 (Twenty Five Crores) Equity Shares of Rs. 10/- (Rupees Ten) each to Rs. 400,00,00,000/- (Rupees Four Hundred Crores Only) divided into 40,00,00,000 (Forty Crores) Equity Shares of Rs.10/- (Rupees Ten) each and consequent amendment to Clause V of the Memorandum of Association of the Company subject to the approval of the members of the Company through Postal Ballot to be conducted in accordance with the provisions of Section 110 of the Companies Act, 2013
