Bain Capital-backed RSB Transmissions is reportedly planning a ₹3,000 crore IPO on Indian stock exchanges, aiming for significant growth and potential inorganic expansion.

Automotive component manufacturer RSB Transmissions is reportedly planning an Initial Public Offering on Indian stock exchanges, aiming to raise approximately ₹3,000 crore. This move comes as global private equity firm Bain Capital, a majority stakeholder, seeks to list another portfolio company.

The Pune-based company is in early discussions with investment banks for the IPO. This follows the successful market entry of Dhoot Transmission, another entity backed by Bain Capital.

Key Financials & Growth Targets

  • IPO target: ₹3,000 crore
  • FY25 consolidated revenues: ₹2,853 crore
  • FY25 net profit: ₹37.38 crore
  • Growth strategy: Target ₹10,000 crore turnover by 2030
  • Bain Capital stake: 64.3% since 2024

RSB Transmissions’ growth strategy includes inorganic expansion. A significant step was the acquisition of Setco Auto Systems in June 2026, supported by equity infusion from Bain Capital and the company’s promoters.

Market Position & Risks

The company supplies critical parts such as propeller shafts, axles, and gearboxes. Its client roster includes major manufacturers like Tata Motors, Mahindra & Mahindra, John Deere, and JCB.

However, RSB Transmissions’ financial performance is closely tied to the cyclical nature of the automotive industry. A large portion of its revenue comes from the Medium and Heavy Commercial Vehicle (MHCV) segment, making it vulnerable to economic downturns.

  • Vulnerability: Cyclical automotive industry, MHCV segment
  • Challenges: Integrating new acquisitions, managing debt and operational costs

The success of its public transition hinges on maintaining stable profit margins while scaling manufacturing across its facilities in India and Mexico. Investors will monitor the filing of the Draft Red Herring Prospectus (DRHP) with SEBI for details on debt, IPO proceeds use, and valuation expectations.
