Hero Motors secured SEBI approval in September 2025 for its Rs 1,200 crore Initial Public Offering, structured to include both a fresh issue and an offer-for-sale component.
IPO Structure Confirmed
The approved offer comprises a fresh issue of Rs 800 crore, alongside an offer-for-sale amounting to Rs 400 crore.
Despite market discussions suggesting a potential reduction to Rs 1,000 crore, no official changes have been filed for the approved offer.

Proceeds from the fresh issue component are designated for specific corporate objectives:
- Debt Repayment: Rs 285 crore
- Capacity Expansion: Rs 237 crore

Hero Motors had previously withdrawn a Rs 900 crore IPO filing in October 2024, opting to refile for the larger current offer.
In FY2024, the company reported a 67% decline in net profit, even as its revenue increased during the same period.
