Key Highlights

Quick commerce leader Zepto plans a massive ₹11,000 Cr IPO by July, aiming to list on Indian exchanges and intensifying competition in the booming quick commerce market.

Zepto, the prominent quick commerce platform, is reportedly advancing its plans to launch an (IPO) valued at ₹11,000 Crore, equivalent to approximately $1.1 Billion, aiming for a listing on Indian bourses within the next two months. This ambitious move positions Zepto to potentially complete its public offering by July 31, according to sources familiar with the matter who spoke to news agency PTI. The company is currently preparing to submit its updated draft red herring prospectus (UDRHP) to the Securities and Board of India (SEBI) in the coming weeks, marking a critical step towards its market debut. If successful, Zepto would join Blinkit’s parent company, Eternal, and Swiggy as the third quick commerce entity to list on the public markets, signaling a maturing phase for India’s rapidly expanding quick commerce sector.

Zepto’s Path to Listing and Financial Strategy

The reported timeline follows closely on the heels of Zepto receiving crucial approval from SEBI for its proposed IPO, a significant regulatory milestone. While the final issue size and pricing are yet to be determined, earlier reports indicated that the public issue would primarily involve a primary capital raise, underscoring the company’s intent to infuse fresh funds for its growth initiatives. In December 2025, Zepto’s board formally sanctioned the plan to raise up to ₹11,000 Crore through a fresh issue of shares via its public offering. Subsequently, the company initiated the confidential pre-filing route by submitting its Draft Red Herring Prospectus (DRHP) with SEBI, demonstrating a strategic and phased approach to its market entry.

Navigating India’s Competitive Quick Commerce Landscape

Founded in 2021 by Aadit Palicha and Kaivalya Vohra, Zepto has rapidly established itself as a key player within India’s dynamic quick commerce ecosystem. The startup operates in a highly competitive environment, directly vying with established players such as Blinkit, Swiggy Instamart, and more recent entrants like Amazon Now and Flipkart Minutes. Strategic operational insights from a recent report by brokerage firm Bernstein highlight Zepto’s significant footprint, noting that the company manages approximately 1,255 dark stores across 61 cities. This network surpasses that of its closest competitor, Instamart, which operates 1,181 dark stores across 128 cities, indicating Zepto’s concentrated market penetration. Furthermore, Zepto’s daily order volume is estimated at nearly 1.6 Million, a notable lead over Instamart’s approximate 1.2 Million orders, showcasing its operational efficiency and customer base.

Funding Rounds and Valuation Growth

The journey to an IPO has been bolstered by substantial financial backing. The Aadit Palicha-led company successfully concluded its last funding round in October of the previous year, raising $450 Million through a combination of primary and secondary transactions. This particular round propelled Zepto’s valuation to an impressive $7 Billion, solidifying its unicorn status. To date, Zepto has accumulated over $2.3 Billion in funding from a diverse group of prominent investors. Its investor roster includes notable names such as Epiq Capital, Dragon Fund, General Catalyst, Y Combinator, and DST Global, reflecting strong investor confidence in its business model and growth prospects within the quick commerce sector. These investments have been instrumental in fueling its aggressive expansion and technological advancements.

Intensifying Competition and Market Outlook

The quick commerce sector is currently characterized by an intense competitive environment, as companies vigorously strive to attract and retain customers. User preferences in this segment are highly fluid, with consumers frequently switching platforms based on factors such as delivery speed, pricing strategies, and product availability. This dynamic has spurred aggressive expansion strategies across the industry, with companies making substantial investments to capture a larger market share. For instance, Amazon recently announced a significant investment of ₹2,800 Crore in India, primarily earmarked for expanding its quick commerce service, Amazon Now, to encompass 100 cities nationwide. Similarly, arch-rival Flipkart is actively investing in and scaling up its dark store network to enhance its delivery capabilities and reach. At the core of these strategic maneuvers lies India’s burgeoning quick commerce market, which analysts project will evolve into a $40 Billion opportunity by 2030. Furthermore, data from Inc42 indicates that quick commerce players are collectively expected to achieve a Gross Merchandise Value (GMV) of $68 Billion by 2031, a substantial increase from the current $8.3 Billion, underscoring the immense potential and growth trajectory of this sector.
