Quick commerce firm Zepto is planning a pre-IPO private placement to bolster its balance sheet. The company aims to raise funds at an approximate valuation of $4.5 billion, positioning itself for an anticipated public listing.
This strategic funding initiative will complement Zepto’s existing financial strength. The company reported a cash reserve of ₹5,681 crore and maintained a zero-debt status as of March 31, 2026.
Funding Strategy & Valuation
Zepto intends to primarily engage domestic investors in this round. This focus aims to increase Indian shareholding, which currently stands at around 40%.
The targeted valuation of $4.5 billion is notably lower than a previous milestone. Zepto achieved a $7 billion valuation in October 2025, securing $450 million in a funding round led by California Public Employees’s Retirement System (CalPERS).
IPO Timeline & Operational Performance
Despite receiving IPO terms from public market investors, Zepto is prioritizing current business execution. The company plans to update its Draft Red Herring Prospectus (DRHP) with revised financials in the upcoming quarters.
Zepto expects to list within the timeframe approved by SEBI under its UDRHP. The firm initially filed preliminary IPO documents in December 2025 through a confidential pre-filing route.
In June 2026, Zepto revised its draft papers, outlining specific capital raising plans. These included a fresh issuance of shares to raise ₹8,010 crore and an offer for sale (OFS) of 11.35 crore equity shares by existing shareholders.
For the fiscal year 2026, Zepto reported substantial operational revenue. The company recorded ₹22,624 crore and processed an average of 17.5 lakh orders daily.
