Virinchi Seeks Shareholder Nod for ₹90 Crore RPTs
Virinchi Limited has launched a postal ballot and e-voting process to secure shareholder approval for significant related party transactions (RPTs) and loans totaling ₹90 crore. These crucial resolutions aim to comply with SEBI regulations for material RPTs.
The ₹90 Crore Breakdown
The company proposes two major transaction sets for FY 2026-27:
- ₹60 crore with Virinchi Health Care Private Limited: This subsidiary, 51% owned by Virinchi, will engage in services up to ₹10 crore and resource transfers up to ₹50 crore. Loans carry an approximate 9% annual interest for 12 months, unsecured. For FY 2025-26, Virinchi Health Care reported a turnover of ₹82.99 crore and a net worth of ₹(26.36) crore.
- ₹30 crore with Vivo Bio Tech Limited: A promoter group member with 5.38% equity in Virinchi, Vivo Bio Tech will provide software consultancy services and inter-corporate loans. Vivo Bio Tech, a Preclinical CRO, posted a standalone turnover of ₹52.57 crore and a loss after tax of ₹193.61 crore for FY 2025-26.
Regulatory Compliance and Voting Schedule
These transactions are mandated for shareholder approval under Regulation 23 of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015. Virinchi Limited’s consolidated turnover of ₹2,843.64 crore for FY 2025-26 sets the materiality threshold for RPTs at around ₹28 crore, which both proposed resolutions exceed.
The remote e-voting period for these resolutions began on June 15, 2026, and will conclude on July 14, 2026. Results are anticipated to be declared by July 16, 2026. The company’s Audit Committee, composed of independent directors, has already reviewed and recommended these transactions.
