Swara Baby Products has received final observations from the Securities and Exchange Board of India for its proposed Rs 1,000 crore initial public offering. The regulatory clearance arrives following the submission of draft papers in July 2026, setting the stage for the company to enter the public markets.
Understanding the Offering Structure
The public issue is divided evenly between a fresh issuance of equity and an existing stakeholder divestment. The transaction mechanics involve two distinct components:
– Fresh issuance of equity shares aiming for up to Rs 500 crore.
– Offer for sale component reaching up to Rs 500 crore from current investors.
Additionally, the firm may consider a pre-IPO placement of up to Rs 100 crore, which would adjust the size of the fresh issue accordingly.
Selling Stakeholders and Key Allocations
Existing shareholders participating in the divestment include major corporate entities holding equity with a face value of Rs 2 each. The selling participants comprise the following entities:
– Brainbees Solutions offering shares worth up to Rs 300 crore.
– Anadya Bon Merchari LLP offering shares totaling up to Rs 200 crore.
Net proceeds from the fresh issue are earmarked for specific corporate objectives. Key allocations include Rs 198.2 crore for a new production facility in Pithampur, Madhya Pradesh, and Rs 100 crore dedicated to debt repayment.
Operational Expansion and Future Plans
Further deployment of funds includes investing Rs 27.5 crore into subsidiaries Solis Hygiene, Swara Hygiene, and KAEHPL to address outstanding borrowings. The remaining capital is allocated toward potential inorganic growth and general corporate objectives. Lead managers JM Financial and Avendus Capital are advising the issue as shares prepare for listing on both the BSE and the National Stock Exchange of India.
