The Securities and Exchange Board of India (SEBI) has released a consultation paper to establish a ‘mutual fund-only’ framework for Portfolio Management Services (PMS). This proposal aims to make wealth management more accessible by reducing the minimum investment threshold.

Lowering Entry Barriers for Investors

The primary modification outlined in the paper involves a significant reduction in the minimum investment required for this specialized PMS. This move is designed to attract a wider segment of mass-affluent investors to professional fund management.

  • Minimum Investment: ₹25 lakh (down from ₹50 lakh)

Easing Market Entry for PMS Managers

Concurrently, SEBI is proposing to lower the net worth requirement for new PMS managers seeking to enter this segment. This adjustment seeks to streamline the entry process for new players in the market.

  • New PMS Manager Net Worth: ₹2 crore (down from ₹5 crore)

Expanding Investment Avenues and Derivatives

The proposed framework extends investment flexibility, permitting allocations into overseas securities. It also allows for a defined portion of investment in unlisted debt instruments, alongside specific derivative exposure limits.

  • Unlisted Debt Investment: Up to 10% of assets
  • Derivative Exposure: Up to 1.25 times assets under management

Structured Fee Framework

Furthermore, the consultation paper introduces clearer guidelines for fee structures within the PMS industry. These include both fixed and performance-based fee models.

  • Fixed Management Fees: Up to 2.5%
  • Performance-Based Fees: Also outlined

The overall intent behind these adjustments is to foster growth within the burgeoning PMS industry, which has seen significant expansion. By lowering barriers and clarifying operational parameters, SEBI aims to broaden participation and enhance regulatory clarity.
