SEBI approves Allied Blenders IPO and penalizes Avadhut Sathe Trading Academy.

Key Highlights

SEBI greenlights Allied Blenders’ Rs 1,500 crore IPO for debt reduction while ordering Avadhut Sathe Trading Academy to refund Rs 546.17 crore.

The Securities and Board of India has greenlit a Rs 1,500 crore initial public offering for Allied Blenders and Distillers, alongside issuing a major enforcement order against Avadhut Sathe Trading Academy. These regulatory actions highlight contrasting facets of market oversight, balancing capital raising approvals with strict consumer protection penalties.

Allied Blenders Seeks Balance Sheet Strength

Allied Blenders and Distillers, known for its flagship Officer’s Choice whisky, secured approval from SEBI to launch its public issue. The company aims to address debt obligations and support corporate growth within the domestic spirits market.

  • Fresh issue of equity shares worth Rs 1,000 crore
  • Offer-for-sale shares valued at Rs 500 crore
  • Primary goal of paying down existing debt and funding general corporate requirements

This capital injection arrives as the company looks to solidify its financial standing against rising industry demands. The planned utilization of proceeds directly targets debt reduction to improve overall balance sheet health.

Enforcement Action Against Avadhut Sathe Trading Academy

In a separate final order dated October 23, 2026, SEBI penalized Avadhut Sathe Trading Academy Pvt. Ltd. and its leadership for operating as an unregistered investment adviser and research analyst. The regulator found that the academy provided unauthorized investment advice and research via WhatsApp and live sessions, including specific buy and sell calls.

  • Total fines of Rs 11.5 crore imposed across the academy and its leaders
  • Penalty distribution of Rs 6 crore on the academy
  • Penalty of Rs 4 crore on founder Avadhut Dinkar Sathe and Rs 1.5 crore on director Gouri Avadhut Sathe

SEBI also ordered the academy and Avadhut Sathe to disgorge and refund Rs 546.17 crore to eligible investors who paid for unauthorized services. Furthermore, both parties must deposit Rs 67.87 crore in interest into the Investor Protection and Education Fund.

Tribunal Intervention and Market Restrictions

The Securities Appellate Tribunal subsequently granted partial relief to Avadhut Sathe and his academy in January 2026 regarding the initial payment demands. The tribunal adjusted the compliance terms following arguments regarding the feasibility of meeting the full demand while accounts remained restricted.

  • Appellants ordered to deposit Rs 100 crore into a designated bank account
  • Prohibition on selling fixed assets maintained pending further proceedings
  • Lifting of bank account freezes and trading restrictions upon successful deposit compliance

Both cases underscore the regulator’s active stance in managing corporate capital permissions while simultaneously penalizing unregistered advisory operations to protect retail participants.
