Oxyzo to Acquire GoldenPi in Strategic Fintech Consolidation

Fintech unicorn Oxyzo has announced a significant strategic move with the approval of its board for the complete acquisition of GoldenPi Technologies Pvt Ltd, a prominent debt investment and bond distribution platform. The deal, valued at ₹42.4 Crore (approximately $4.4 million), will be executed through a share-swap agreement. This acquisition signifies Oxyzo’s ambition to broaden its market reach and enhance its product offerings, particularly within the burgeoning fixed-income investment space.

Deal Structure and Share Allocation Details

The acquisition will see Oxyzo, which operates as the lending arm of OfBusiness, issue equity shares on a preferential basis through a private placement. The shares will be allocated to GoldenPi’s key stakeholders, including its founders, Abhijit Roy and Samir Baran Pratihar, and its investor, Rainmatter Investments. Specifically, Oxyzo’s board has approved the offer and issuance of 3.11 Lakh equity shares, each with a face value of ₹10 and a securities premium of ₹1,353 per share, aggregating to the total deal value of ₹42.41 Crore. The allocation includes 1.15 Lakh equity shares to Abhijit Roy (valued at ₹15.7 Cr), 1.14 Lakh shares to Samir Baran Pratihar (valued at ₹15.5 Cr), and 53,422 shares to Rainmatter Capital (valued at ₹7.3 Cr). Utpal Hemendra Sheth will receive 29,353 shares valued at ₹4 Cr.

Expanding into Wealthtech and Debt Markets

This strategic acquisition is poised to enable Oxyzo to make a significant entry into the retail wealthtech segment. By integrating GoldenPi’s operations, Oxyzo aims to expand its debt capital market product offerings to a wider audience, including retail and High Individual (HNI) investors. Anuj Sharma, Oxyzo’s business head of fixed income, stated, “This will enable us to significantly enhance our fixed income offerings and capture a larger share of the fast-growing debt investment market. We believe the unified enterprise, with the right focus and investment, is perfectly positioned to create substantial value for all stakeholders.” The move is expected to bolster Oxyzo’s position in the competitive fixed-income investment landscape.

GoldenPi’s Market Position and User Base

Founded in 2017, GoldenPi has established itself as a key player in the fixed-income investment sector. Its subsidiary, GoldenPi Securities, holds a SEBI-licensed debt broker status. The platform boasts one of the largest online distribution networks for bonds and debentures in India, serving a community of over 1.6 million users. Since its inception, these users have collectively invested more than ₹6,000 Crore through the platform, highlighting its significant reach and influence in the debt market. This established user base and infrastructure present a strong synergy for Oxyzo’s expansion plans.

Oxyzo’s Broader Expansion Strategy and Financial Health

The acquisition of GoldenPi is not an isolated event for Oxyzo, marking its second significant expansion into new territories this year. In March, the company launched its maiden credit fund as part of its alternative investment platform, focusing on providing growth capital to mid-sized, investment-grade companies. The fund has already commenced capital deployment. Oxyzo, a tech-enabled Non-Banking Financial Company (NBFC), specializes in customized financial solutions for Small and Medium Enterprises (SMEs), covering raw material procurement, machinery purchases, and supply chain financing. The company has demonstrated robust financial performance, with its net profit increasing by 7% to INR 267.4 Crore for the first nine months of FY26, up from INR 249.7 Crore in the previous year. Operating revenue for the same period rose by 29% to INR 1,047 Crore from INR 809.8 Crore, indicating sustained growth and financial stability.
