NSE Settles Sebi Lapses for Rs 1,491 Cr, Clears IPO Path

NSE reaches an in-principle settlement with Sebi for Rs 1,491 crore, resolving co-location and dark-fibre cases, paving the way for its much-anticipated IPO.
The National Stock Exchange (NSE) has reached an in-principle settlement with market regulator Sebi for past regulatory lapses, agreeing to pay nearly Rs 1,491 crore. This resolution addresses long-standing issues, including the co-location and dark-fibre cases.
The agreement marks a crucial step that is expected to facilitate the smooth progression of the NSE’s upcoming Initial Public Offering (IPO). The exchange has already filed its offer document for the public listing.
Understanding the Settlement Amount
Sebi confirmed its in-principle acceptance of the proposed Revised Settlement Terms on July 30, 2026, according to a statement from the bourse. The regulator demanded an additional Rs 714.74 crore as part of this agreement.
This additional demand will be adjusted against a deposit of Rs 776.47 crore that the NSE had already made. The combination of these figures results in the total settlement amount.
The Core Regulatory Cases
At the heart of this settlement are the widely recognized co-location case and the dark-fibre case. These issues implicated several former top officials of the NSE.
The accusations centered on granting certain brokers preferential access to the exchange’s trading systems and related data. This privileged access reportedly allowed these specific brokers to generate illegal profits.
Previous Settlement Proposals
Last month, the NSE had disclosed in its IPO prospectus that it submitted a revised settlement proposal to Sebi. This earlier proposal aimed to resolve these significant regulatory cases.
Within that proposal, the NSE had offered specific amounts for each case:
- Co-location case: Rs 1,223.6 crore
- Dark-fibre case: Rs 267.7 crore
The finalisation of this settlement is a critical development for the NSE, effectively removing a major regulatory hurdle ahead of its planned Initial Public Offering.
