Jio Platforms, a prominent subsidiary of Reliance Industries, has received an observation letter from the Securities and Exchange Board of India (SEBI) for its proposed initial public offering (IPO). This pivotal regulatory milestone, announced by Reliance Industries on August 28, 2026, positions the telecom and digital services entity for what could become India’s largest public issue.

The IPO aims to raise approximately ₹37,700 crore, equivalent to about $3.8 billion. This substantial target, based on post-SEBI observation estimates, underscores the potential scale of Jio Platforms’ entry into the public market.

Understanding the Regulatory Pathway

The journey began when Jio Platforms initially filed its Draft Red Herring Prospectus (DRHP) with SEBI on June 19, 2026. An observation letter from SEBI signifies that the regulatory body has reviewed the DRHP and found it compliant with necessary disclosures, allowing the company to proceed.

The IPO structure involves a fresh issue of up to 27 crore equity shares, each with a face value of ₹10. This offering will utilize a book-building process to determine the final issue price, notably without including an offer for sale by existing shareholders.

IPO Allocation and Fund Utilization

Reliance Industries plans to maintain its controlling interest in Jio Platforms, holding a 66.43% stake, which comprised 593.78 crore shares as of March 31, 2026. The substantial capital raised from the IPO has specific allocation intentions.

Jio Platforms intends to direct up to ₹27,500 crore of the IPO proceeds towards repaying or prepaying borrowings of its material subsidiary, Reliance Jio Infocomm. The remaining funds are earmarked for general corporate purposes, strengthening the company’s financial flexibility.

Regarding investor participation, the DRHP outlines that up to 50% of the issue will be allocated to qualified institutional buyers. At least 35% is reserved for retail investors, with additional provisions made for eligible Reliance Industries shareholders and employees, though specific reservation sizes are pending announcement.

Jio Platforms’ Financial Performance

Jio Platforms demonstrated robust financial growth in the fiscal year 2026. Its revenue from operations reached ₹1,46,885.30 crore, marking a significant 14.6% increase from FY25.

The company also reported an 18.8% rise in EBITDA, reaching ₹76,255.40 crore, with the EBITDA margin improving to 51.91%. This indicates enhanced operational efficiency and profitability.

Profit before tax saw a 14.9% increase to ₹40,353.10 crore, while profit after tax grew by 15.1% to ₹30,049.10 crore. The customer base expanded to 524.4 million by the end of FY26, up from 488.2 million in the previous year, reflecting strong market penetration.

Broader Financial Context

Jio Platforms encompasses Reliance Industries’ core telecom, digital platform, and technology businesses. In a broader context, Reliance Industries, India’s largest private sector company, reported a consolidated net profit increase of 6.12% year-on-year and 12.66% quarter-on-quarter to ₹23,196 crore in Q1 FY27. Gross revenue for the June 2026 quarter rose to ₹3,40,257 crore, while shares of Reliance Industries closed at ₹1,287 on August 28, 2026.

While the SEBI observation letter is a critical step, it does not finalize the IPO launch or its exact issue dates and price. Further regulatory and offer-document procedures are still required before the public issue can commence, marking the next stages in this significant market event.
