Indian Gas Exchange secures SEBI nod for its initial public offering, enabling parent company IEX to reduce its stake from 47.3% to 25%.

The Indian Gas Exchange has officially received regulatory approval from the Securities and Exchange Board of India to proceed with its initial public offering. This clearance marks a major step forward for the nation’s premier automated national-level gas exchange as it prepares to list on the stock exchanges.

Understanding the IPO Structure and Objectives

The upcoming public offering is structured entirely as an offer for sale by the promoter. No new shares are being created through this process, meaning the exchange will not raise fresh capital from the public market via this issuance.

The offering involves a specific set of shares designed to reduce the promoter’s holdings. Here are the core details of the offering structure:

The offering consists of up to 1.67 crore equity shares being divested by the parent company.

Parent company Indian Energy Exchange intends to reduce its stake in the exchange from 47.3% down to 25%.

Each equity share involved in the public offering carries a face value of ₹10.

Operational Background and Market Role

Established in 2019, the platform functions as India’s sole national-level exchange focused on physical delivery-based gas trading. It utilizes a fully automated electronic system to manage trades for natural gas using standardized physical delivery contracts linked to the national gas pipeline grid.

The exchange serves a diverse network of participants across the energy value chain. The platform facilitates transparent price discovery for the following entities:

Refineries and gas producers operating within the domestic market.

Power generators and industrial consumers relying on steady fuel supplies.

Liquefied natural gas terminal operators and city gas distribution companies.

Financial Performance Overview

The exchange has demonstrated consistent financial growth across recent fiscal periods. The reported figures highlight a steady upward trajectory in operational revenue and profitability.

Revenue from operations reached ₹61.05 Cr in FY26, growing from ₹48.80 Cr in FY25 and ₹34.85 Cr in FY24.

Profit after tax stood at ₹42.02 Cr for FY26, compared to ₹30.79 Cr in FY25 and ₹23.05 Cr in FY24.

EBITDA was recorded at ₹58.61 Cr for FY26, following ₹46.09 Cr in FY25 and ₹33.92 Cr in FY24.

The regulatory approval enables the promoter to proceed with the planned stake reduction to align with relevant regulatory standards while the exchange continues its operations in the natural gas market.
