CCI approves Prosus’ $100 million investment in Navi Technologies.

Key Highlights

The Competition Commission of India has approved Prosus’s $100 million investment in Sachin Bansal’s fintech startup, Navi Technologies.

The Competition Commission of India has granted formal approval for MIH EdTech Investments B.V., a subsidiary of Prosus, to acquire a stake in Navi Technologies. The proposed transaction is valued at $100 million and targets the digital-first financial services firm based in Bengaluru. This regulatory clearance marks an important step for the fintech startup as it works to expand its capital reserves and market footprint across the country.

Regulatory Approval and Strategic Context

For Prosus, the transaction aligns with its established strategy of backing prominent technology platforms operating within the Indian market. Ashutosh Sharma, Head of Prosus India Investments and M&A, noted the rationale behind the partnership includes Navi’s large base of loyal customers, its multi-business platform approach, and its focus on solving user problems through technology. Prosus expressed confidence in the leadership of the founder, characterizing him as a visionary focused on long-term value creation.

Sachin Bansal, serving as the Founder and Executive Chairman of Navi Group, noted that the collaboration builds upon a professional connection with the Prosus Group and Naspers spanning more than ten years. He described the funding round as a significant endorsement of the company’s institutional growth. The transaction represents Navi’s inaugural institutional capital raise as it seeks to establish itself as a major technology-driven financial institution.

Portfolio Offerings and Operational Scale

Led by the former Flipkart co-founder, Navi offers a diverse portfolio of financial products designed to capture growing consumer demand in India. The firm operates across multiple financial verticals with distinct operational milestones:

Navi Technologies provides personal loans, home loans, and mutual funds designed to scale its operations and enhance user adoption. Navi UPI maintained its standing as the fourth-largest UPI application in India, establishing itself as one of the nation’s fastest-growing payment platforms. Navi Finserv drives the lending operations of the digital financial group, anchoring its multi-business platform approach.

The completion of the transaction remains subject to standard closing conditions. Both entities continue to navigate the required regulatory milestones to finalize the capital infusion.
