Svatantra Microfin, a non-banking finance company focusing on microfinance and affordable housing loans, has submitted draft papers for an Initial Public Offering (IPO) to the Securities and Exchange Board of India (Sebi). The company aims to raise up to ₹3,000 crore through this public offering.

This significant capital infusion is primarily intended to enhance the company’s Tier I capital base, which is crucial for supporting its ongoing lending business expansion. The IPO structure combines both new share issuance and an offer for sale by existing investors.

IPO Structure and Investor Participation

The proposed IPO is set to comprise a fresh issue of shares alongside an offer for sale (OFS). The company also has the option to conduct a pre-IPO placement, which would adjust the final fresh issue size.

  • The fresh issue of shares is valued at ₹1,500 crore.
  • The offer for sale (OFS) also accounts for ₹1,500 crore.
  • A potential pre-IPO placement could raise up to ₹300 crore, reducing the fresh issue component.

Existing investors Advent International-controlled Violicina and Multiples Alternate Asset Management are participating in the OFS. Violicina plans to sell shares worth ₹1,064.8 crore, while Multiples Alternate Asset Management will offload shares worth ₹435.2 crore. Ananya Birla and her firm Antimatter Media currently hold a 59.97% stake in Svatantra Microfin.

Svatantra Microfin’s Market Footprint

Svatantra Microfin stands as India’s second-largest microfinance institution, measured by its assets under management (AUM). The company maintains a substantial operational presence across the country, serving a large base of borrowers.

  • Consolidated AUM reached ₹23,817.8 crore as of March 2026.
  • The company operates 2,253 branches across 23 states and union territories.
  • It serves approximately 43.1 lakh borrowers, primarily women in rural areas with annual incomes up to ₹3 lakh.

The company was also the first institution to receive the NBFC-MFI licence from the Reserve Bank of India back in 2011, underscoring its pioneering role in the sector.

Robust Financial Performance

Svatantra Microfin has demonstrated strong financial growth in the fiscal year ending March 2026. Key financial indicators highlight a significant increase in profitability and revenue streams.

  • Profit surged by 45.8% to ₹649.4 crore.
  • Net interest income rose by 30%, reaching ₹2,496.5 crore.
  • Revenue from operations expanded by nearly 20% to ₹4,121 crore.

The IPO is being managed by a consortium of book-running lead managers, including Axis Capital, Avendus Capital, IIFL Capital Services, Kotak Mahindra Capital Company, and SBI Capital Markets. This capital-raising effort is poised to reinforce Svatantra Microfin’s financial strength and facilitate its continued expansion in the microfinance sector.
