India’s Sebi dismisses fraud & disclosure allegations against Max Financial Services and Axis entities after investigating 2010, 2015, 2020 arrangements.

The Securities and Exchange Board of India (Sebi) has concluded its proceedings against Max Financial Services Ltd (MFSL), Max Life Insurance Co. Ltd (MLIC), and Axis group entities, dismissing allegations of fraud and insufficient disclosures.

The regulator’s investigation focused on three agreements made in 2010, 2015, and 2020, examining whether these transactions provided undue benefits to Axis beyond permissible insurance commissions and if MFSL failed to make timely disclosures.

Key Allegations Investigated

Sebi had previously alleged that shares were issued or sold to Axis at par or discounted prices and subsequently repurchased at higher valuations, potentially leading to financial gains for Axis entities.

  • The 2020 arrangement alone involved an alleged benefit of ₹3,911.95 crore.
  • The regulator also scrutinised whether MFSL had adequately disclosed crucial details of these transactions, including corporate agency arrangements, share issuances to Axis Bank, and buyback agreements.

Regulatory Findings on Disclosures

In its final ruling, Sebi determined that the disclosure-related charges could not be sustained.

This decision was due to a lack of material evidence proving violations of the specific provisions in effect at the time, with Sebi emphasizing that disclosure standards for listed companies have evolved since 2010.

Absence of Fraudulent Intent

Ultimately, Sebi found no evidence to support the claim of a fraudulent scheme designed to defraud MFSL shareholders.

The order highlighted the absence of any allegations of market manipulation, such as artificial price or volume inflation, or interference with market integrity.

With both the disclosure and fraud allegations unproven, the charges against the company’s key managerial personnel were also dropped, and the proceedings against all involved parties were disposed of without any penalties being imposed.
