Bakkt, Inc. reports an $80.8M GAAP net income in Q2 2026, a major turnaround driven by a $98.5M non-cash gain from Transchem warrants and operational growth.

Bakkt, Inc. announced a GAAP net income of $80.8 million for the second quarter of 2026, marking a significant financial turnaround. This performance contrasts sharply with the net loss of $14.7 million reported in the second quarter of 2025.

The positive shift was primarily driven by a $98.5 million non-cash gain. This gain resulted from the fair value adjustment of Transchem warrants.

Operationally, Bakkt recorded a Total Transacting Volume (TTV) of $168.8 million during Q2 2026. The TTV for the first half of 2026 reached $410.0 million, incorporating payments processed via infrastructure acquired in April 2026.

Strategic Operational Progress

Bakkt continues to build its financial operating system for the AI and token economy, focusing on three core engines: Bakkt Markets, Bakkt Agent, and Bakkt Global. The company advanced six commercial offerings within Bakkt Markets during the quarter.

These offerings include trading infrastructure, stablecoin and digital-asset OTC services, and stablecoin on- and off-ramps. Cross-border payments and the Bakkt Widget also form part of this suite.

Significant developments included securing Indian regulatory approvals for the Transchem investment. This led to the allotment of 47.5 million warrants to Bakkt, valued at $107.9 million as of June 30, 2026.

The integration of Distributed Technologies Research Global Ltd. (DTR) technology, acquired on April 30, 2026, also progressed. This integration consolidated payment, stablecoin, onboarding, and compliance processes, enabling wire and ACH funding.

Bakkt strengthened its commercial organization, now led by Chief Commercial Officer Daniel Ishag. This move aims to enhance market penetration for its diverse product offerings.

Embedded Finance and Liquidity

Bakkt Agent Embedded Finance, which provides accounts, payments, and international transfers, is now available for partner integration. The company plans to launch initial co-branded card programs and Neobank-as-a-Service offerings in the fourth quarter of 2026.

Financially, Bakkt maintained a strong liquidity position with $50.7 million in cash, cash equivalents, and restricted cash as of June 30, 2026. The company reported no long-term debt.

Strategic Asset Value (SAV) stood at approximately $118.6 million. This value reflects investments in Bitcoin Japan Corporation and the Transchem warrants.

Bakkt anticipates reaching approximately 25,000 Monthly Active Users (MAUs) by December 2026. This target remains contingent on partner product activations and end-user adoption.
