About the Company

We are a Contract Development and Manufacturing Organization (“CDMO”) company engaged in the manufacturing of pharmaceutical and nutraceutical products in oral solid dosage (“OSD”) with primary focus on providing third-party contract manufacturing and private labelling solutions to customers in domestic and international markets. Under these arrangements, we manufacture products based on customer requirements, agreed formulations, quality specifications, packaging requirements and applicable regulatory standards. In addition to our CDMO operations, we also undertake direct branding, wherein certain pharmaceutical and nutraceutical products are manufactured and marketed under our own brand “SPL” through distributors. Our operations cover multiple stages of the value chain, including product development, sourcing of raw materials, manufacturing, packaging, documentation, product registration support and distribution through domestic and international channels, subject to applicable regulatory requirements. Pharmaceutical refers to chemical or biological substances used for the prevention, diagnosis, treatment, or cure of disease in humans or animals. Nutraceutical refers to products derived from food sources that provide additional health benefits beyond basic nutrition, such as supporting wellness, immunity, or disease prevention.

Use of Proceeds

1. Funding capital expenditure towards construction of the proposed corporate office and guest house of our company in Tamil Nadu, India; 2. Funding capital expenditure towards procurement of machineries for expansion and upgradation of our existing manufacturing facility in Puducherry, India; 3. Repayment and/or pre-payment, in full or in part, of certain outstanding borrowings availed by our company; 4. Funding our incremental working capital requirements; and 5. General corporate purposes.
