About the Company
Our Company was founded by Alka Nikhil Javeri, Dhruv Nikhil Javeri and Dhumil Nikhil Javeri under the Companies Act, 2013 under the name and style of ‘Fusion Klassroom Edutech Private Limited’, pursuant to a certificate of incorporation dated November 03, 2016 issued by the Registrar of Companies, Central Registration Centre. Our Company was converted into a public limited company pursuant to a resolution passed by our Board of Directors in its meeting held on September 03, 2025, and by the Shareholders in an annual general meeting held on September 29, 2025 and consequently the name of our Company was changed to ‘Fusion Klassroom Edutech Limited’ and a fresh certificate of incorporation dated November 17, 2025 was issued by the Registrar of Companies, Central Processing Centre. The corporate identification number of our Company is U74999MH2016PLC287390. Klassroom Edutech today operates a scalable, hybrid learning ecosystem comprising 30 offline partner centres, an AI-powered Education OTT App featuring 100+ courses, and a nationwide footprint of over 400K+ registered users with 1 lakh+ subscribers and 1 lakh+ mobile app downloads. Klassroom has executed major educational and skilling initiatives including its MoU with the Government of Rajasthan, implementations across 10+ PM Shri Schools and Jawahar Navodaya Vidyalaya (JNV), the RSLDC project and the Uttar Pradesh girl-child digital education initiative impacting over 1,000 beneficiaries. The Company continues collaborations with national and state missions, universities, skill councils, and institutional partners. Key alliances include NSDC, TSSC, MSSDS, and digital integrations with state skilling platforms.
Use of Proceeds
1. Prepayment or repayment of all or a portion of certain outstanding borrowings availed by our Company; 2. Expenditure towards Technology & AI\ML Model Development, Servers and Cloud Infrastructure 3. Funding the capital expenditure towards Content Development 4. Funding the capital expenditure towards procurement of Desktop and Laptops for the new Offline Centers’ AI/ML labs 5. Expenditure towards Marketing initiatives 6. Funding inorganic growth through unidentified acquisitions and general corporate purposes (Collectively, referred to herein as the “Objects”)
