Stock Split Or Consolidation of Shares2026-03-25Stock Split Inter-alia considered and approved the following: 1. Sub-division/split of existing 1(one) equity share of face value of Rs. 10/- (Rupees Ten each), fully paid up into 10 (Ten) equity shares of face value of Rs. 1/- (Rupees One only) each, fully paid up subject to shareholders approval. The record date for the purpose of sub-division/split of equity shares shall be decided after obtaining approval for sub-division/split from the shareholders and will be intimated separately. 2. Consequent alteration of the Capital Clause i.e. Clause V of the Memorandum of Association of the Company subject to shareholders approval. The altered Capital clause of the Memorandum of Association of the Company, subject to approval of shareholders shall read as follows: ?The Authorized Share Capital of the Company is Rs. 15,00,00,000 (Rupees Fifteen Crores only) divided into 15,00,00,000 (Fifteen Crore) equity shares of face value of Rs. 1/- (Rupees One only) each. 3. Adoption of new set of Articles of Association as per Companies Act, 2013 subject to the shareholders approval. 4. Consider and approved the Notice of Extraordinary General Meeting (?EGM?) to be held on Saturday, April 18, 2026. The notice of EGM will be shared in due course of time.
