TPG Sells Aster DM Healthcare Stake for ₹4,780 Crore

TPG Inc. to divest 7.2% stake in Aster DM Healthcare for ₹4,780 crore via block deal, priced at a discount. Aster DM reports Q1 profit decline.
Centella Mauritius Holdings Ltd, an entity controlled by TPG Inc., plans to divest a 7.2% stake in Aster DM Quality Care Ltd through a block deal. This transaction is estimated to be worth approximately ₹4,780 crore.
The proposed floor price for this significant divestment stands at ₹766.10 per equity share. This figure represents a 6.3% discount when compared to Aster DM Healthcare’s last closing price on the National Stock Exchange.
Following the sale, the seller’s remaining stake will be subject to a 60-day lock-in period. As of the end of the first quarter, Centella Mauritius Holdings, backed by TPG Inc., held a 9.9% stake in the healthcare provider.
Q1 Financial Performance Overview
Aster DM Healthcare reported a consolidated net profit of ₹16.1 crore for the quarter ending June 30, 2026. This marks an 81.2% year-on-year decline from the ₹85.5 crore recorded in the same period last year.
Despite the profit dip, the company’s revenue from operations saw a robust 21.6% year-on-year increase, reaching ₹1,311 crore, up from ₹1,078 crore. Earnings before interest, tax, depreciation, and amortisation (EBITDA) also grew by 27.5% to ₹264.3 crore from ₹207.4 crore in the prior-year period.
The EBITDA margin demonstrated improved operational efficiency, rising to 20.2% from 19.2%. This revenue growth was primarily driven by increased patient footfalls and enhanced performance across its extensive hospital network.
Exceptional Costs Impact Profitability
The notable decline in net profit was attributed to ₹114.38 crore in exceptional expenses incurred during the quarter. These costs were primarily professional fees and other expenditures associated with its merger with Quality Care India.
Revenue from mature hospitals, the company’s established facilities, increased by 19% during the quarter. Emerging hospitals, which are newer facilities in their scaling-up phase, reported a more substantial 95% increase in revenue.
Notably, the Kasargod Hospital achieved monthly EBITDA break-even within nine months of operations, signaling rapid progress for newer facilities.
