By Business DeskNSE Settles Rs 1491 Cr Co-location Case, Paving Way for IPO

NSE resolves Rs 1491 Cr co-location & dark fibre cases with SEBI for Rs 714.74 Cr, removing a key hurdle for its Rs 30,000 Cr IPO.

The National Stock Exchange (NSE) announced on Friday it has paid Rs 714.74 crore to the Securities and Exchange Board of India (SEBI), finalizing the settlement for its long-running co-location and dark fibre cases.

This payment brings the total settlement amount to Rs 1,491.21 crore, resolving a significant regulatory issue that has been pending for the exchange.

The settlement process involved multiple stages of financial commitment, reflecting the complexity of the regulatory dispute.

• The initial settlement applications were filed on June 20, 2025, for Rs 1,387.39 crore.

• The amount was subsequently increased to the current Rs 1,491.21 crore on March 13, 2026.

• An earlier deposit of Rs 776.47 crore was made by the exchange.

• The board of the exchange sanctioned this final payment on July 30, 2026, following SEBI’s in-principle approval.

Significance for NSE’s Public Offering

This resolution is a critical development for the NSE as it continues preparations for its Initial Public Offering (IPO).

The planned IPO, projected to be around Rs 30,000 crore, has faced delays partly due to these regulatory issues.

With the settlement concluded, a major obstacle has been removed, streamlining the path for one of India’s largest public issues.

• The proposed IPO was filed with SEBI in June.

• It consists solely of an offer-for-sale (OFS) of 14.89 crore equity shares by existing shareholders.

• This represents approximately 6 percent of the exchange’s total equity capital.

• There is no fresh issue component included in this offering.

The completion of this substantial settlement underscores the exchange’s commitment to resolving past regulatory challenges as it seeks to enter the public market.
