India is releasing FDI policy clarifications for land border nations and Hong Kong to boost transparency and streamline investment approvals, addressing PN3 concerns.

India is actively developing a set of clarifications, presented in a Frequently Asked Questions (FAQ) format, for its Foreign Direct Investment (FDI) policy. These clarifications aim to provide greater transparency and guidance for investments originating from countries sharing a land border with India, as well as those routed through Hong Kong.

This initiative directly addresses concerns raised by investors regarding Press Note (PN) 3 of 2020. That policy mandates prior government approval for investments from specified geographies, even in sectors typically under the automatic approval route, if the beneficial owner is located in one of these countries.

Revised Standard Operating Procedure

In May, New Delhi revised the standard operating procedure (SOP) for processing such FDI applications. The updated procedure targets speedy clearance within 60 days for 40 identified sub-sectors, including critical areas like rare earth magnets and printed circuit boards.

Despite this timeline, the application process demands extensive documentation from investors. This includes detailed information on several key aspects:

Shareholding patterns and beneficial owners.

Organizational and group structures.

Promoters and board composition.

Key managerial personnel, their citizenship status, and control rights within the reporting framework.

Industry Concerns Persist

An industry executive highlighted that the substantial paperwork and numerous queries from authorities often prolong the application process beyond the 60-day target. While a previous measure, PN2, offered some relief, allowing foreign companies with up to 10% Chinese or Hong Kong non-controlling shareholding to invest via the automatic route, industry experts note that certain issues still persist.

The forthcoming FDI clarifications are intended to streamline this complex process. They seek to provide much-needed clarity for investors navigating India’s regulatory framework concerning land-bordering nations.
