Icodex Publishing Solutions shareholders have formally approved two special resolutions, impacting both the terms and timeline for the utilization of its Initial Public Offering (IPO) proceeds. The approval, which also ratifies any past deviations in fund usage, stems from a postal ballot that concluded on August 14, 2026.

These resolutions were disclosed by the company in accordance with Regulation 44 of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015. Their primary objective was to address variations in the original objects or terms of the IPO proceeds’ utilization and to officially ratify any departures from the stated offer objectives.

The resolutions mandated a special majority for their passage, reflecting their significance. The voting process was conducted through a remote e-voting system, with the final tally showing substantial participation.

  • Total shareholders on record date (July 10, 2026): 921
  • Total votes polled: 11,638,478
  • Percentage of outstanding shares polled: 74.43%
  • Promoter and promoter group shareholders’ votes in favor: 10,003,647 (from 10,076,100 shares)
  • Public non-institutional shareholders’ votes in favor: 1,612,831 (from 1,634,831 polled votes out of 5,560,920 shares)
  • Public non-institutional votes against: 22,000

Kuldeep Dayaldas Ruchandani of KPRC & Associates served as the independent scrutinizer, confirming on August 14, 2026, that the resolutions were duly passed. Notably, no institutional investors participated in this specific voting process.

Details of Fund Reallocation and Deviations

Prior to this approval, Icodex Publishing Solutions Limited had outlined a plan to reallocate a significant portion of its unutilised IPO proceeds. This reallocation targets the company’s working capital requirements, aiming to enhance operational liquidity.

The proposed reallocation includes:

  • Transfer of ₹7.95 crore from funds originally designated for purchasing new office premises.
  • Transfer of ₹1.12 crore from the hardware allocation.

These two transfers collectively amount to ₹9.07 crore directed towards working capital. The company also sought ratification for a ₹1.34 crore deviation where funds meant for office premises were instead used for interior works and fit-outs, deemed essential for making the premises operational.

While the resolutions passed with overwhelming support, a discernible minority dissent of approximately 1.35% emerged from the public non-institutional shareholders. This indicates a segment of retail and non-institutional public investors had reservations regarding the modification of IPO proceeds utilization terms, despite the overall strong mandate.
