Hero Motors Slashes IPO to Rs 1,000 Cr Amid SEBI Rule Changes

Hero Motors revises its IPO to Rs 1,000 crore following SEBI approval. Fresh issue is Rs 600 crore, OFS remains Rs 400 crore, aligning with new SEBI regulations.
Hero Motors has reduced its initial public offering (IPO) size to Rs 1,000 crore, down from the previously proposed Rs 1,200 crore, following approval from the Securities and Exchange Board of India (SEBI). This adjustment revises the fresh issue component to Rs 600 crore, a decrease from its original Rs 800 crore.
OFS Composition Shifts
While the total Offer For Sale (OFS) component remains at Rs 400 crore, its internal composition has undergone changes. These adjustments ensured the OFS total was maintained despite individual shareholder revisions.
- O P Munjal Holdings increased its offer to Rs 395 crore.
- Bhagyoday Investments withdrew its Rs 5 crore share offer.
- Hero Cycles maintained its Rs 5 crore offer as initially planned.
Regulatory Flexibility Introduced
This revision aligns with SEBI’s new regulations, which took effect on April 13, 2026. These updated rules allow companies to modify their fresh issue size by up to 50 percent without the need for refiling a Draft Red Herring Prospectus (DRHP).
The regulatory changes provide crucial flexibility for firms operating in potentially volatile market conditions. This aims to alleviate the burden of time-consuming refiling processes, allowing companies to adapt more swiftly to evolving capital requirements and market realities.
Fresh Issue Funds Deployment
The proceeds generated from the fresh issue component are earmarked for several strategic initiatives by Hero Motors.
- Repay corporate debt totaling Rs 190 crore.
- Allocate Rs 200 crore for expanding production capacity at its facility in Gautam Buddha Nagar, Uttar Pradesh.
- Support inorganic growth through unidentified acquisitions.
- Cover general corporate purposes as needed.
Proceeds from the Offer For Sale will go directly to the selling shareholders, rather than being injected into the company’s operations. Investors are now awaiting the official announcement of the IPO’s price band and its opening dates.
